- Agreement — These Terms and Conditions, together with any engagement letter, proposal, or service agreement entered into between you and Lumenroot.
- Service — The advisory, workshop, and strategy engagement programmes offered by Lumenroot, as described on this website and in any proposal documents.
- User / You / Your — Any individual or business entity that accesses this website or engages Lumenroot for services.
- We / Us / Our — Lumenroot, a business advisory firm operating from Level 18, Menara Citibank, 165 Jalan Ampang, 50450 Kuala Lumpur, Malaysia.
- Content — All text, documents, frameworks, templates, and written materials produced or provided by Lumenroot during or after a service engagement.

Acceptance of Terms
By accessing this website, submitting an enquiry, or entering into a service engagement with us, you confirm that you have read, understood, and agreed to be bound by these Terms and Conditions.
Use of or engagement with our services is available only to individuals who are at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of Malaysia.
If you are engaging on behalf of a company or organisation, you represent that you have the authority to bind that entity to this Agreement.
Service Description
Lumenroot provides business advisory and strategy consultancy services to small and mid-sized enterprises in Malaysia. Our current offerings comprise:
- Operating Model Workshop for SME Founders — a two-week advisory and educational engagement covering process design, decision rights, and operating structure documentation.
- Quarterly Strategy Cadence Programme — a three-month engagement built around quarterly planning, strategic alignment, and progress review for owner-managed companies.
- Annual Strategy Partnership for Growth-Stage Firms — a twelve-month advisory retainer covering annual strategy, quarterly reviews, written briefs, and ongoing advisory access.
All services are operational and strategic in nature. Lumenroot does not provide financial advice, legal advice, medical advice, or any other regulated professional services. Nothing in our service deliverables should be construed as constituting such advice.
Services are primarily delivered to businesses based in Malaysia, though we may consider engagements with internationally based firms at our discretion. Service availability is subject to capacity and prior agreement.
User Responsibilities
When using this website or engaging our services, you agree to the following:
Acceptable Use
- Provide accurate and complete information when making enquiries or entering into engagements.
- Cooperate in good faith throughout any engagement, including attending scheduled sessions and providing requested materials in a timely manner.
- Use any content, frameworks, or documents delivered by Lumenroot solely for your own internal business purposes.
Prohibited Activities
You must not use this website or any service deliverables to:
- Reproduce, resell, or redistribute Lumenroot's proprietary content or frameworks without written consent.
- Misrepresent your identity, business situation, or intentions during any engagement.
- Attempt to reverse-engineer, extract, or replicate Lumenroot's methodologies for commercial use outside your own organisation.
- Submit or introduce any material that is unlawful, defamatory, or that infringes the rights of any third party.
Intellectual Property
All content on this website — including text, frameworks, diagrams, and branding — is the intellectual property of Lumenroot and is protected under applicable Malaysian and international intellectual property laws.
Upon full payment for a completed engagement, Lumenroot grants you a limited, non-exclusive, non-transferable licence to use the specific deliverables created for your engagement within your own organisation. This licence does not extend to sublicensing, resale, or commercial exploitation of those materials.
Lumenroot retains the right to use anonymised, non-identifiable insights or patterns from engagements for the purpose of improving our services and methodology.
Payment Terms
All fees are quoted and payable in Malaysian Ringgit (MYR). Current service pricing is as published on our website and in the relevant engagement proposal:

Payment is due as specified in the engagement letter. We accept payment via bank transfer to our designated account. Invoice details will be provided upon confirmation of engagement.
Refund Policy: Cancellations made more than five working days before a scheduled engagement start date are eligible for a full refund. Cancellations within five working days will be considered on a case-by-case basis. Once an engagement has commenced and deliverables have been provided, fees are non-refundable for work already performed.
Lumenroot reserves the right to adjust pricing for future engagements. Confirmed engagements are protected at the agreed rate.
Service-Specific Terms
The following terms apply to all advisory service engagements:
- Scope: The scope of each engagement is defined in the relevant proposal or engagement letter. Work outside that scope requires a separate written agreement.
- Timeline: Indicative timelines are provided in good faith. Delays caused by the client's unavailability or late provision of materials may affect delivery schedules without liability to Lumenroot.
- Deliverables: Written deliverables are provided in digital format. Physical copies, additional versions, or translations are outside standard scope unless agreed in writing.
- Changes: Material changes to the agreed scope during an engagement may result in revised fees and timelines, communicated in writing before proceeding.
Confidentiality
Both parties acknowledge that during an engagement, confidential business information may be shared. Lumenroot commits to treating all client information with professional discretion and will not disclose identifiable client data to third parties without consent, except as required by law.
Clients agree to treat any proprietary frameworks, methodologies, or working documents shared by Lumenroot as confidential and not for external distribution.
Disclaimers
This website and all service offerings are provided on an "as available" basis. While we take care to ensure the accuracy of information presented, Lumenroot makes no representations that content is complete, current, or free from error.
Our advisory services are educational and operational in nature. We do not make representations about the commercial outcomes of following any advice, framework, or plan produced during an engagement. Business results depend on numerous factors outside our control, including market conditions, operational execution, and client-specific circumstances.
Nothing on this website or in our service deliverables constitutes financial, investment, legal, accounting, or any other form of regulated professional advice.
Limitation of Liability
To the fullest extent permitted by Malaysian law, Lumenroot's total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.
Lumenroot shall not be liable for any indirect, incidental, consequential, or special loss or damage, including but not limited to loss of profits, loss of business, or loss of data, whether arising in contract, tort, or otherwise.
Circumstances beyond our reasonable control — including but not limited to natural events, regulatory changes, or telecommunications failures — will not give rise to liability on our part.
Indemnification
You agree to indemnify, defend, and hold harmless Lumenroot, its principals, associates, and representatives from and against any claims, damages, costs, or expenses (including reasonable legal fees) arising from:
- Your breach of any provision of these Terms.
- Your use or misuse of our service deliverables beyond the agreed licence scope.
- Any inaccurate or misleading information you provide to us during an engagement.
Termination
Either party may terminate an engagement by providing written notice to the other. The terms and conditions governing notice periods and any financial settlement upon early termination are set out in the relevant engagement letter.
Lumenroot reserves the right to suspend or discontinue services immediately if a client materially breaches these Terms, engages in conduct detrimental to the engagement, or fails to meet agreed payment obligations.
Clauses relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution shall survive the termination of any engagement.
Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Malaysia. Both parties agree to submit to the exclusive jurisdiction of the courts of Malaysia in connection with any dispute arising under or in connection with this Agreement.
Informal Resolution: Before initiating any formal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct discussion. Either party may initiate this by giving written notice to the other, following which both parties will engage in discussions for a period of at least 30 days.
If informal resolution is not reached, either party may refer the matter to mediation under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur before pursuing litigation, though this step is not a precondition to legal action.
General Provisions
- Entire Agreement: These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties and supersede all prior discussions or arrangements relating to the subject matter herein.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure by Lumenroot to enforce any provision of these Terms at any time shall not constitute a waiver of that provision or of the right to enforce it subsequently.
- Assignment: You may not assign your rights or obligations under these Terms without Lumenroot's prior written consent. We may assign our rights to a successor or related entity without restriction.
- Notices: Formal notices under this Agreement should be sent in writing to the address or email below. Notices are considered effective upon delivery or, in the case of email, upon confirmation of receipt.
Changes to Terms
Lumenroot may update these Terms and Conditions from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we may also notify active clients directly.
Continued use of this website or our services following the effective date of any change constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
